JOB DESCRIPTION

Jabil is seeking a dynamic and self-motivated attorney to join our Commercial Legal team as an Assistant General Counsel – Product & Services Counsel.

This role encompasses complementary legal focuses: Product Counsel, serving as a strategic legal advisor throughout the product lifecycle; and
Services Counsel, leading complex commercial transactions and customer engagements related to Jabil offerings and contract manufacturing and solutions business.

The ideal candidate will have significant experience advising on product development, commercialization, regulatory compliance, and product-related risk management, related services offerings, like XaaS, service and maintenance agreements, and/or drafting and negotiating sophisticated manufacturing and supply agreements.

JOB SUMMARY

Working closely with business partners as their primary point of legal support and the senior management team of Jabil’s Commercial Legal team, this attorney will:

• Serve as Product Counsel supporting business units across the full product lifecycle, from concept and development through commercialization and post-market activities; and
• Act as lead counsel on services transactions and strategic commercial engagements.

The role will also support merger and acquisitions -related activities.

ESSENTIAL DUTIES AND RESPONSIBILITIES

A. Product Counsel Responsibilities

  • Serve as primary legal advisor to product teams throughout the product lifecycle.
  • Provide primary legal guidance from product concept and design through development, validation, launch, commercialization, and post-market support, engaging subject matter experts as appropriate.
  • In collaboration with subject matter experts, advise on global product regulatory compliance across applicable industry frameworks.
  • Counsel teams on product risk management, including product liability exposure, warranties, indemnities, recalls, safety obligations, labeling, advertising, and marketing claims.
  • Review and advise on product specifications, technical documentation, validation materials, quality agreements, and customer commitments.
  • Support risk assessments related to product changes, supplier transitions, and global commercialization strategies.
  • Provide strategic guidance on allocation of product-related risks in customer and supplier contracts.

B. Services Counsel Responsibilities

  • Lead drafting, review, negotiation, and lifecycle management of product related and manufacturing services and master supply agreements.
  • Negotiate ancillary agreements, including statements of work, quality agreements, professional services agreements, license agreements, tooling agreements, and related contracts.
  • Advise business teams in colultation with subject matter experts on commercial risk allocation, including liability, indemnities, warranties, IP, termination, and dispute resolution in collaboration with subject matter experts.
  • Partner with sales, business development, finance, and operations to structure new business transactions.
  • Develop a deep understanding of Jabil’s contract manufacturing and other business models and risk profiles.

C. Shared / Core Responsibilities

  • Develop strong working relationships with internal business clients and external customers.
  • Analyze and summarize complex legal, regulatory, and commercial issues for senior management.
  • Provide advice on contract interpretation, performance disputes, and ongoing customer and supplier matters.
  • Collaborate with subject matter experts, e.g., regulatory, compliance, IP, litigation, and quality teams, on governance and claims management.
  • Manage higher levels of risk and business impact, particularly in connection with product launches and strategic engagements.
  • Manage outside counsel as needed for specialized commercial matters.
  • Recommend and drive best practices in product governance and commercial contracting.
  • Perform other duties and responsibilities as assigned

MANAGEMENT & SUPERVISORY RESPONSIBILITIES

  • Reports to VP, Commercial Legal.
  • Initially, the role does NOT directly manage employees, though this may evolve.
  • May supervise professional staff or less experienced attorneys.

REQUIREMENTS / JOB QUALIFICATIONS

  • Graduate of an ABA-accredited or foreign-equivalent law school; member of a bar in good standing and eligible to practice law in Florida.
  • Ideally 4–15 years of legal experience, including demonstrated experience serving as product counsel or advising on product lifecycle legal issues and/or manufacturing and supply agreements.
  • Substantial experience negotiating complex commercial agreements, particularly manufacturing, supply, or development agreements.
  • Experience with an OEM as a product counsel and/or in the manufacturing industry preferred.
  • Excellent written and oral communication skills and ability to advise senior leadership.
  • Strong business acumen and practical, solutions-oriented approach to problem solving.
  • Function independently in a dynamic, fast-paced corporate environment, while collaborating across functions and geographies.
  • Amenable to attending calls with global business counterparts outside standard Eastern U.S. business hours.
